Terms
Every freelance project undertaken by Lindsay Jones trading as Writeous Copy is subject to the terms outlined below. Please ensure that you read these thoroughly; all projects will be undertaken on the assumption that you have read and agreed with these terms.
1. Confirmation of contract
Work will only commence upon receipt of a valid Purchase Order or confirmation e-mail acknowledging that the client wishes to engage the services of Lindsay Jones trading as Writeous Copy. This will constitute a contract and must state the nature of the work to be undertaken, the budget and deadline.
2. Creative brief
A detailed written brief is the preferred method of briefing. If the client chooses to rely on a verbal briefing, the client accepts that this method of briefing, by its nature, is open to ambiguities which may be reflected in the resulting copy. The client accepts responsibility for such ambiguities and for any additional costs incurred in rewriting the copy as required. Should the client change the brief after work has commenced, Writeous Copy reserves the right to adjust the project costs to cover the increased time spent on a job. All additional costs will be clearly communicated to the client. A revised Purchase Order must be issued to cover any additional costs incurred.
3. Terms of payment
Payment is required within 30 days of the date of the invoice. Payment will be made by cheque to the payee and address shown on the invoice or, where agreed, by electronic funds payment into the company's designated account. Once a project has commenced, the fee agreed between the client and Writeous Copy is deemed incurred unless payment milestones have been pre-agreed. The client acknowledges that they have no right to withhold or reduce payment based on their critical response to, or appraisal of, the copy delivered by Writeous Copy.
4. Late payments
Writeous Copy reserves the right to charge interest if the payment terms are exceeded without prior agreement. Interest will be charged at 2% above the Bank of England base rate from the date payment was due, to the date payment is received.
5. Cancellation charges
The client will not be entitled to cancel an order accepted by Writeous Copy without Lindsay Jones's acceptance in writing. In the event of cancellation, Writeous Copy reserves the right to levy cancellation charges, calculated on the following basis:
- 10 working days' notice: No charge
- 5 - 9 working days' notice: 25% of the costs
- 1 - 5 working days' notice: 50% of the costs
- 1 working day's notice or less: 100% of the costs.
6. Preliminary work
Unless otherwise specifically stated in writing, all work produced on behalf of the client will be charged for.
7. Source material
During the briefing process, the client may require Writeous Copy to view documents prepared by another source. The client must confirm that they are the copyright holder, or that they are authorised by the copyright holder to permit all or part of this material to form part (directly or indirectly) of the new content created by Writeous Copy. The client will indemnify Lindsay Jones trading as Writeous Copy against any claim arising from a subsequent suggestion that the newly created content breeches any existing copyright, and any action arising as a result of using this content as reference material.
8. Late submission of content
Failure to provide Writeous Copy with relevant source material, content and amendments on schedule may result in a delay to a project. The project will be rescheduled in the next available slot. The client must advise immediately if the content submission date is likely to change.
9. Amendments
All project estimates allow for two rounds of minor client amendments only. This service is defined as:
- Preparation and submission of first draft
- Integration of first round of client feedback. Submission of second draft
- Integration of second round of client feedback. Submission of third draft.
Minor amendments are defined as word changes and do not include major edits to entire sections. If major changes are required or changes are requested after the first draft stage, the project will be subject to additional costs and possible delays to the agreed schedule. Any additional costs or changes to the schedule will be communicated to the client. A revised Purchase Order must be issued to cover any additional costs incurred.
10. Client approval/legal review
Legal review and content approval is the responsibility of the client. Project sign-off by the client is confirmation that this action has been taken and that the client is in agreement with the branding, imagery and overall content of the piece. Writeous Copy accepts no responsibility for legal review and errors once the client's written approval has been received. The client will indemnify Lindsay Jones trading as Writeous Copy against any loss incurred as a result of civil claims or proceedings brought against Lindsay Jones based upon any work prepared for, and approved by, the client before publication.
11. Confidentiality
The client agrees that the ideas and concepts presented by Lindsay Jones trading as Writeous Copy for their commission remain strictly confidential and will not be used for any other purposes without Lindsay Jones's written consent. In turn, Lindsay Jones trading as Writeous Copy agrees not to disclose any confidential information resulting from research commissioned and paid for by the client.
12. Copyright
When commissioning Lindsay Jones trading as Writeous Copy to provide copy services, the client is purchasing the copyright in the work that is written. This copyright is assigned to the client upon receipt by Writeous Copy of full and final payment of all fees due. Writeous Copy reserves the right to use extracts of the copy in the promotion of the company. All sample copy displayed on www.writeouscopy.com is intended for reference purposes only. Visitors are not permitted to copy or adapt any item, in whole or part, for any use whatsoever.
